2. Eligibility
Our services are intended for business and organizational use. By using our services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

4. Client Agreements

5. SMS/Text Messaging Terms
Center Point and its affiliated projects may provide SMS/text messaging services for operational communications, volunteer coordination, notifications, and service delivery. By opting in to receive SMS messages, you agree to the following terms:
Consent
By providing your mobile phone number and opting in to SMS communications, you expressly consent to receive text messages from Center Point or its affiliated services at the number provided. Consent is not a condition of purchase or use of other services.

Carrier Liability
Carriers (e.g., T-Mobile, AT&T, Verizon) are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your network operator.

Your use of SMS services is also governed by our Privacy Policy, which describes how we collect, use, and protect your mobile information. We do not sell, rent, or share your mobile phone number or SMS opt-in data with third parties for marketing or promotional purposes.
6. Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of Center Point Assessment Solutions, Inc. or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
Intellectual property rights related to custom work product developed for clients are governed by the applicable client agreement.
7. Confidentiality
We treat client information as confidential. Specific confidentiality obligations are defined in client agreements. You agree not to disclose any proprietary information, methodologies, or trade secrets obtained through our services without our prior written consent.
8. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results from the use of our services.
9. Limitation of Liability
To the fullest extent permitted by law, Center Point and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of our services.
Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you, if any, for the specific services giving rise to the claim during the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Center Point and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use of our services.

Our services may integrate with or link to third-party platforms and services. We are not responsible for the availability, content, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.

These Terms, together with our Privacy Policy and any applicable client agreements, constitute the entire agreement between you and Center Point regarding the use of our services and supersede any prior agreements or understandings.
